Terms & Conditions

1. Introduction

These Terms and Conditions govern all projects carried out by CSP Projects Co., Ltd. (trading as CSP Construction). They should be read together with the individual Construction Agreement signed between CSP Projects Co., Ltd. and the Client. In the event of any conflict, the signed Construction Agreement takes precedence.

2. Quotations and Contracts

• • All quotations are valid for 30 days unless otherwise stated.

• • A formal Construction Agreement must be signed before any works commence.

• • The scope of work is strictly limited to what is defined in the signed agreement and its appendices.
    
    

3. Contract Price & Payment Terms

The Project Price is stated in the signed agreement. Payments are made according to the Build & Payment Plan (Appendix C).

• • Payments are milestone-based and due within 10 working days of receiving a valid Payment Request.

• • The final payment (minimum 5%) is due within 30 days after the Acceptance Date.

• • All payments are non-refundable except as expressly provided in the signed agreement.
    

     

4. Variations & Changes

Any changes to the agreed plans, specifications, or Bill of Quantity must be documented through a Variation Order. Variations may affect the Project Price and timeline and will be confirmed in writing.

5. Project Timeline

The expected Completion Date is stated in the agreement. Timelines are estimates and may be extended due to Force Majeure, client instructions, delays in approvals, or other events outside the Contractor’s reasonable control.

6. Delay Liquidated Damages

• • If the Contractor is responsible for delay (beyond approved extensions), Delay Liquidated Damages of 0.05% of the Project Price per day apply, capped at a maximum of 5%.

• • The same rate applies in favour of the Contractor for delays caused by the Client (e.g., late payments or late decisions).
    
    

7. Warranty

• • Labour and Materials Guarantee: 2 years from the Acceptance Date.

• • Structural Warranty: 5 years from the Acceptance Date.

• • The Client must submit a complete Snag List within 30 days of occupancy. The Contractor will remedy listed items prior to final payment.
    
    

8. Design & Intellectual Property

All architectural drawings, renderings, and design documents remain the intellectual property of CSP Projects Co., Ltd. until full and final payment is received.

9. Client Responsibilities

The Client agrees to:

• • Provide timely payments

• • Grant unrestricted site access

• • Supply government utilities (electricity and water)

• • Obtain any permits required in the Client’s name

• • Approve materials and finishes in a timely manner
    
    

10. Governing Law

These Terms and Conditions and the Construction Agreement are governed by the laws of the Kingdom of Thailand.

11. Entire Agreement

The signed Construction Agreement, together with these Terms & Conditions, constitutes the entire agreement between the parties. Any amendments must be made in writing and signed by both parties.
